Corporate Paralegal

Job Description

Dynamic role reporting to the Senior Director of Legal & Corporate Development, involving frequent interaction and collaboration with company leadership, external partners, and outside counsel.

Job Roles and Responsibilities:

  • Contract Lifecycle Management
    • Develop and maintain a contracts database and lifecycle management system; provide regular updates of key contract deadlines / auto-renewals / projected expirations
    • Support maintenance of library of standardized form documents, contract clauses, and templates
    • Develop and maintain financial and legal obligation trackers for in-licenses and agreements
    • Manage flow of contracts through review and approval process
    • Manage negotiation, execution and filing of confidentiality agreements
  • Corporate Governance and SEC Reporting
    • Support Legal and Finance teams in preparing and filing periodic reports with the Securities and Exchange Commission, including 10-Ks, 10-Qs and 8-Ks
    • Support our annual proxy statement and annual meeting process, including interfacing with our Finance, HR and other internal teams, proxy solicitors, and outside counsel
    • Prepare and maintain board records, including assembling board and committee packages, maintaining board and committee annual task schedules, and coordinating meeting agendas
    • Assist with the preparation and filing of Forms 3, 4 and 5 and proxy statements
  • Healthcare Compliance
    • Work closely with Rocket’s Compliance Officer to develop appropriate policies and processes for ensuring compliance with applicable law and industry standards for interaction with patients and healthcare professionals
    • Assist with daily operations of the compliance system
  • IP Portfolio Management: 
    • Support Business Development and Business Operations group to maintain and update IP docket and tracker for all patents, trademarks, and related IP filings
  • General operational assistance for Legal, Compliance and Corporate Secretary functions, and any other tasks as assigned

Job Requirements:

  • 2-4+ years of corporate paralegal or contracts management experience either in a law firm or in-house environment
  • Excellent written and verbal communication skills
  • Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint
  • Ability to work independently and prioritize tasks/projects
  • A strong sense of professionalism and discretion
  • Extremely organized and detail-oriented
